These Terms & Conditions (“Terms”) govern your access to and use of Humagician (“Humagician,” “we,” “us,” or “our”), including the Humagician operator platform at app.humagician.com, the Humagician chat widget, and Humagician Forms embedded on third-party merchant websites. By accessing or using any part of Humagician, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Company Information

Humagician is operated by Fluenik, LLC (“Fluenik, LLC,” “Fluenik,” “we,” “us,” or “our”), a Michigan limited liability company in the United States. Questions about these Terms can be sent to [email protected].

2. Permitted Use

You may use Humagician only for lawful purposes. You agree not to:

• Use Humagician in a way that violates applicable laws or regulations.
• Attempt unauthorized access to systems, accounts, data, or infrastructure.
• Interfere with or disrupt the platform, APIs, webhooks, or supporting infrastructure.
• Scrape, copy, or reuse platform content or data except as expressly permitted by law or in writing by Humagician.
• Use automated systems to overload or degrade our services.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or suspected breach at [email protected].

You must not share your account credentials with unauthorized persons or allow others to access the platform using your account. Each account is personal to the registered operator.

4. Merchant Operators

If you deploy the Humagician chat widget or Humagician Forms on a third-party website (“your site”), you are the merchant operator and take on the following responsibilities:

• You are the data controller for personal information collected from your site’s visitors through Humagician widgets and forms. You are responsible for publishing an appropriate privacy notice on your site disclosing that Humagician processes data on your behalf.
• You may not use Humagician to collect visitor data for purposes that are unlawful, deceptive, or not disclosed to visitors.
• You are responsible for ensuring your use of Humagician complies with applicable privacy laws, including any obligations to obtain visitor consent.
• You must not direct Conversational AI or Automation Workflows features to produce or distribute content that is unlawful, harmful, discriminatory, or deceptive.

5. AI Features and Usage Counting

Humagician incorporates AI features, including Conversational AI and Automation Workflows, that generate automated responses and suggestions within chat conversations and form interactions. AI-generated content is provided for informational purposes only and may contain inaccuracies, errors, or incomplete information.

For plan usage and billing metrics, Humagician applies the following definitions:

• All AI-generated responses should be reviewed before being relied upon for any decision-making, customer communication, or business purpose.
• By using Humagician, you acknowledge that chat conversations, form submissions, and related metadata may be recorded and retained as interaction history.
• Humagician does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• You are solely responsible for verifying information produced by AI features and for any actions taken based on AI-generated content.
• Conversational AI features use Microsoft Azure OpenAI Service as our AI provider. By using Conversational AI features, you acknowledge that your data may be processed by this provider in accordance with our Privacy Policy.
• Humagician does not use your content or customer personal data to train our own generalized AI models.
• We use provider controls and contractual terms intended to prevent your content from being used to train third-party generalized AI models.
• 1 AI interaction is counted when any AI feature is used in a single chat conversation or ticket thread.
• AI can be used an unlimited number of times within that same chat conversation or ticket thread and it still counts as 1 AI interaction.
• A ticket is counted any time either (a) a chat conversation is opened or (b) a help desk ticket is opened.

6. No Professional Advice

Content generated by Humagician, including AI-generated responses, is provided for general informational and operational purposes only and does not constitute legal, financial, medical, tax, or other professional advice. Do not rely on AI-generated content as a substitute for professional consultation.

7. Acceptable Use

The following are strictly prohibited:

• Using Humagician to harass, threaten, or harm individuals.
• Uploading or transmitting malicious code, viruses, or exploits.
• Attempting to reverse engineer, decompile, or extract source code from the platform.
• Using the platform to generate or distribute spam, phishing, or deceptive content.
• Reselling or sub-licensing access to Humagician without express written authorization.
• Using the platform in any way that could damage Humagician’s reputation or expose Humagician to legal liability.

8. Intellectual Property

Humagician and its related content, branding, software, and technology are owned by Fluenik or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of content you upload or submit through the platform (“Your Content”). By using the platform, you grant Humagician a limited license to process and store Your Content solely to provide the services.

9. Third-Party Names, Trademarks, and Services

Humagician may reference or integrate with third-party products and services (including, for example, cloud hosting providers, e-commerce platforms, social media platforms, and others) to describe compatibility or supported environments. All third-party marks are the property of their respective owners. Their appearance does not imply sponsorship, endorsement, affiliation, or partnership unless expressly stated by Humagician in writing.

We are not responsible for the content, policies, or practices of third-party services beyond our reasonable control, including AI model providers.

10. Privacy

Your use of Humagician is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Contact Form Submissions

• Legal basis: We process contact form submissions based on our legitimate interest in responding to inquiries, or your consent where applicable.
• Purpose: We use this information solely to respond to your request and communicate with you.
• Retention: We retain contact form submissions for up to 1 month unless required longer for legal or operational purposes.
• Your rights: You may request access, correction, or deletion of your submitted data at any time by contacting us.

Anti-Spam Protection

We use hCaptcha to prevent spam and abuse. This service may collect IP address and device information for security purposes.

10A. Data Processing Agreement and International Transfers

When we process personal data on your behalf as a processor, our Data Processing Agreement applies.

Humagician services are primarily hosted in the United States. Personal data may be transferred to the United States or other countries where our subprocessors operate.

11. Disclaimer of Warranties

Humagician is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Humagician and its affiliates, officers, directors, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities arising from or related to your use of Humagician, including any reliance on AI-generated content.

13. Indemnification

You agree to defend, indemnify, and hold harmless Humagician and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from: (a) your use of or access to the platform; (b) your violation of these Terms; (c) Your Content; or (d) your deployment of Humagician widgets or forms on your website, including any claims by your site visitors.

14. Termination

We may suspend or terminate your access to Humagician at our discretion, including for violations of these Terms, without prior notice. Upon termination, your right to use the platform ceases immediately. Sections that by their nature should survive termination will survive, including Sections 5, 8, 11, 12, 13, and 15.

15. Governing Law

These Terms are governed by the laws of the State of Michigan and the United States, without regard to conflict-of-laws rules.

16. Pre-Release Disclaimer

Pricing and features are subject to change prior to public release.

17. Changes to These Terms

We may update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of Humagician after updates constitutes your acceptance of the revised Terms.
